The Primary Mechanism: UAE Holding Structure

The most common and robust repatriation structure involves a UAE Free Zone company (typically registered in DMCC or ADGM) that holds equity in the Russian operating entity. When the Russian entity pays dividends to its UAE parent, those funds arrive in the UAE corporate account and can be distributed to individual investors or reinvested without further restriction. The Russia-UAE bilateral investment treaty provides a legal framework for this structure and limits withholding tax on dividends to 5-15% depending on the investor’s ownership stake.

The China Route

For Chinese investors, the mechanism typically involves a Hong Kong Special Purpose Vehicle (SPV) that holds equity in the Russian entity. Russia-China bilateral banking relationships have expanded significantly since 2022, with direct RMB-rouble settlement now available through multiple Chinese state banks. Dividend payments can be structured in USD, RMB or rubles depending on the investor’s preference and prevailing exchange rates.

Timing and Frequency

Dividend distributions can typically be made quarterly or annually, depending on the project’s cash flow profile and the terms agreed in the shareholder agreement.
